Terms of Service

The agreement between you and Naijacloud when you create an account, deploy a service or pay us money.

1. Agreement

These Terms of Service govern your use of the Naijacloud platform, dashboard, CLI, API and documentation (together, the "Service"), operated by Naijacloud Technologies Ltd, a company registered in Nigeria. By creating an account or deploying anything to the Service, you accept these terms on behalf of yourself and any organisation you represent.

If you do not agree with these terms, do not use the Service. If you are using Naijacloud for an employer or client, you confirm that you are authorised to bind them.

2. What we provide

Naijacloud is a platform-as-a-service. You give us code or files; we build, run and serve them from our regions in Port Harcourt (af-west-1) and London (eu-west-2). The Service currently includes:

  • Web services: containerised applications built from a Git repository and served over HTTPS.
  • Managed databases: PostgreSQL instances on a private network, managed through the built-in editor.
  • Cache: managed Redis-compatible key-value stores.
  • Cron jobs: scheduled one-off containers.
  • Static sites: static file hosting on our edge.
  • Object storage: S3-compatible buckets with free in-region transfer.

We add, change and occasionally remove features. Where a change materially reduces what you already rely on, we will give you at least 30 days notice by email and on the status page.

Naijacloud is a young company building new infrastructure. We are not yet operating at the maturity of a hyperscaler, and we would rather say so here than imply otherwise. Parts of the platform are in active development, incidents will happen, and some features are labelled beta on purpose.

Features marked beta, preview or experimental in the dashboard or documentation are provided for evaluation. They may change, break or be withdrawn without the notice period above, and they are excluded from the Service Level Terms. Do not put a workload on a beta feature that you cannot afford to lose.

For any workload where downtime or data loss would seriously harm you, keep your own independent backups and a documented recovery path off Naijacloud. We will not be the only copy of anything that matters to you.

4. Your account

You must be at least 18 years old, or the age of majority where you live, to hold an account. You are responsible for everything that happens under your account, including the actions of your team members and any automated tokens you issue.

  • Keep your credentials, API keys and deploy tokens secret. Rotate them if you suspect exposure.
  • Enable two-factor authentication on any account with production access.
  • Tell us at [email protected] as soon as you become aware of unauthorised access.
  • Keep your billing contact and email address current, because most of our notices go there.

5. Fees, billing and Naira pricing

Paid plans are billed monthly in advance for the plan fee, and in arrears for metered usage such as bandwidth, storage and compute hours. Prices are published in Naira on our pricing page and charged in Naira. We do not add FX surcharges to Naira invoices.

  • Invoices are issued on the first day of each cycle and are due on receipt.
  • Value Added Tax is added where Nigerian law requires it.
  • Failed payments are retried for 7 days. After that we may suspend paid resources; we will email you before we do.
  • Suspended resources are retained for 14 days, then deleted. Free-tier resources idle for 30 days may be deleted with notice.
  • We may change prices with 30 days notice. Existing prepaid cycles are unaffected.

Fees already paid are not refundable except where required by law or where we have issued a service credit under the Service Level Terms.

6. Your code and your data

You own your code, your data and your customers’ data. Nothing in these terms transfers that ownership to us. You grant us only the licence we need to host, transmit, back up and display your content in order to operate the Service for you.

We do not use your customer data to train models, and we do not sell it. Our staff do not access the contents of your databases or buckets except when you ask us to for support, or when we are compelled by law, or where it is strictly necessary to stop an active security incident. Access of that kind is logged.

You are responsible for having the right to process whatever you upload, and for meeting the obligations that apply to you as a data controller, including under the Nigeria Data Protection Act 2023 and, where relevant, the GDPR.

7. Suspension and termination

You may close your account at any time from workspace settings. Termination stops future billing; it does not refund the current cycle. Export what you need first, because deletion is permanent after 14 days.

We may suspend or terminate an account that breaches these terms or the Acceptable Use Policy, that is being used to attack or endanger other customers, or that has unpaid invoices past the retry window. Except for urgent security or legal cases, we will contact you first and give you a chance to fix the problem.

8. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

No uptime guarantee in these terms

We do not promise that the Service will be uninterrupted, error-free, or that any specific level of availability will be met. Our availability targets, and the only remedy attached to them, live in the Service Level Terms, and they are targets with service credits, not guarantees of continuous operation.

9. Limitation of liability

Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost goodwill or lost or corrupted data, even if advised of the possibility.

Our total aggregate liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us in the three months immediately before the event giving rise to the claim, or (b) ₦50,000. Service credits issued under the Service Level Terms count towards this cap.

Nothing here limits liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence.

10. Changes, law and disputes

We may update these terms. Material changes are announced by email and on this page at least 30 days before they take effect; continuing to use the Service after that date means you accept the new version. Every prior version is archived and available on request.

These terms are governed by the laws of the Federal Republic of Nigeria. The parties will attempt to resolve any dispute in good faith for 30 days; failing that, the courts of Rivers State, Nigeria have exclusive jurisdiction.
